Texas does not have a traditional annual report fee like many states. However, almost every LLC, corporation, and professional entity must file specific reports with the Texas Comptroller every year.
2026 Key Dates at a Glance
May 15, 2026 (or next business day): Most important date for the majority of Texas businesses.
- Public Information Report (PIR) - Form 05-102 due (or Ownership Information Report for some entities).
- Franchise Tax Report due. Note: For 2026, entities at or below the $2.65M annualized revenue threshold do NOT file a separate No Tax Due Report — they file PIR/OIR only (but still must file the information report).
- Ownership Information Report (OIR) if applicable.
Other Important Windows:
- Quarterly estimated payments if you owe franchise tax.
- Registered agent updates: File promptly with SOS after any change (no fixed annual date, but must stay current).
- Sales tax returns: Monthly, quarterly, or annual depending on your volume (check your Comptroller account).
- BOI (Beneficial Ownership Information) federal report: Ongoing for new entities (FinCEN deadlines apply separately).
Who Must File What?
Public Information Report (PIR):
- Required for: LLCs, Corporations, Professional Associations, LPs, and most other filing entities.
- Even if your revenue is under the franchise tax threshold (~$2.65M in recent years), you almost certainly still file the PIR.
- Purpose: Updates the state on your managers, members, registered agent, and principal office.
Franchise Tax:
- No personal state income tax in Texas is a big advantage.
- Franchise tax is a privilege tax based on revenue (not profit).
- 2026 no-tax-due threshold: $2.65 million annualized total revenue.
- Entities at or below threshold owe $0 but must file PIR (no separate No Tax Due Report required for 2026+).
- File combined with the PIR in most cases.
Registered Agent:
- Must maintain a valid Texas registered agent at all times.
- No annual filing required for the agent itself, but update SOS immediately if it changes.
